1. Introduction and Description of the Platform

These Terms of Service govern your use of Rally (the "Platform"). Rally Technologies Limited ("Rally," "we," "us," or "our") provides a simulated environment designed to demonstrate the future capabilities of our crypto exchange and financial services platform.

This Platform is a non-operational, pre-launch environment; it exists solely to showcase product design, user interface, and community features while we pursue regulatory licences. On this demonstration Platform, users may create accounts, explore simulated trading screens, view mock virtual cards, test savings features, and interact with our social forum.

2. Eligibility and Account Creation

To access the Platform, you must be at least eighteen years old and legally competent to enter into these Terms. You may create a demo account by providing a valid email address, username, and any other information requested during registration.

You represent that all information you provide is accurate, current, and complete, and you agree to keep it up to date. Accounts on the Platform are for demonstration purposes only; they do not hold or manage any funds, assets, or liabilities.

We reserve the right to refuse registration, suspend, or terminate any account at our discretion if we believe that you have breached these Terms or if we consider it necessary to protect our interests or the integrity of the Platform.

3. Nature and Limitations of the Platform

The Platform is a simulated environment. All trading interfaces, order books, pricing data, account balances, savings tools, card products, and payment services displayed are entirely mock features used to demonstrate the look and feel of future services. They are not live or executable.

• We do not process, execute, or settle any transactions
• We do not accept deposits or enable withdrawals
• No fiat currency, digital assets, or other financial instruments are held or managed on your behalf
• The Platform's simulated data may include fictional prices, balances, and transaction histories

Any actions you take within the Platform, such as placing trades or initiating transfers, are purely illustrative and do not have any legal or financial effect. You acknowledge that the Platform is provided solely for demonstration, testing, and educational purposes.

4. No Financial Services, No Financial Advice

Rally is not currently providing any financial services through the Platform. The Platform does not constitute an exchange, a payment processor, a broker, a custodian, or any other regulated entity. We are not authorised or licenced to provide financial services, investment services, or payment services at this stage.

Nothing on the Platform constitutes an offer, solicitation, or recommendation to buy, sell, or hold any cryptocurrency, financial product, or security. Any statements, articles, or social posts on the Platform are for general informational purposes only and should not be construed as financial advice.

You should not rely on the Platform or any content therein when making financial or investment decisions. We encourage you to seek independent professional advice before engaging in any financial activities outside of this demonstration environment.

5. Intellectual Property

All content on the Platform, including but not limited to software, user interface design, text, graphics, logos, icons, images, and any trademarks, service marks, or trade names displayed, is owned by Rally or our licensors and is protected by copyright, trade mark, and other intellectual property laws.

You are granted a limited, non-transferable, non-exclusive licence to access and use the Platform solely for your personal, non-commercial, demonstration-related purposes. You must not copy, modify, distribute, display, perform, publish, license, create derivative works from, transfer, or sell any content on the Platform without our prior written consent. All rights not expressly granted in these Terms are reserved by Rally.

6. User Conduct and Prohibited Use

You agree to use the Platform in a lawful, ethical, and respectful manner. You must not use the Platform for any unlawful, fraudulent, or malicious activities.

Prohibited activities include, but are not limited to:

• Attempting to access or use the Platform for real financial transactions
• Engaging in any form of market manipulation, misrepresentation, or deceptive conduct
• Uploading or sharing content that is defamatory, offensive, or infringing
• Introducing viruses, malware, or other harmful code
• Interfering with the proper functioning of the Platform
• Attempting to gain unauthorised access to other users' accounts or our systems

You are responsible for all content you post or transmit via the Platform's social features. We reserve the right to monitor user activity and remove or block any content or accounts that violate these Terms or that we consider harmful to the community.

7. Communications and Marketing Consent

By registering an account on the Platform, you consent to receive marketing communications, product updates, and other informational messages from us relating to Rally's products and services. These communications may be delivered via email, SMS, push notifications, or other electronic means.

We will provide you with clear opt-out mechanisms in each communication. You may withdraw your consent at any time by following the unsubscribe instructions or contacting us directly. Withdrawing consent will not affect your ability to use the Platform for demonstration purposes, although we may still send you non-promotional communications relating to your account, security, or legal notices.

8. Limitation of Liability

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Rally disclaims all warranties, whether express, implied, or statutory, including any warranties of merchantability, fitness for a particular purpose, non-infringement, and availability.

Rally does not warrant that the Platform will be uninterrupted, secure, free from viruses or other harmful components, accurate, or error-free. Because the Platform is a simulated environment, any data, results, or performance shown have no real-world accuracy or applicability.

In no event shall Rally, our directors, officers, employees, agents, or affiliates be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or in connection with your use of or inability to use the Platform. Your sole and exclusive remedy for dissatisfaction with the Platform is to stop using it.

9. Termination Rights

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including but not limited to your breach of these Terms, suspected fraudulent or abusive activity, or as required by law.

Upon termination, your right to use the Platform will immediately cease, and we may delete any associated data or content. You may terminate your account at any time by following the instructions within your account settings or contacting us. These Terms will survive termination with respect to any provisions that by their nature should continue to apply, including intellectual property rights, warranty disclaimers, indemnities, and limitations of liability.

10. Governing Law and Dispute Handling

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

You and Rally agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or their subject matter. If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be severed and shall not affect the validity and enforceability of the remaining provisions.
